AllHome Corp. uses HOME as its market symbol. The website of the Philippine Stock Exchange (PSE) showed HOME having a seven-man board.
As of Dec. 31, 2020, HOME reported 3,750,000,002 outstanding common shares, which are publicly traded and of which the company’s board directly holds 502 common shares, according to PSE the website and its public ownership report (POR) as if Dec. 31, 2020.
The POR listed Manuel B. Villar, as chairman of HOME’s board, who directly owns 100 common shares. So do his children Manuel Paolo A. Villar and Camille A. Villar.
Benjamarie Therese N. Serrano and Frances Rosalie T. Coloma also are direct stockholders with ownership of 100 common shares each. Of the seven directors, Laura LuarezAcusar and Jessie D. Cabaluna own a nominal share each.
AllValue Holdings, which has unlisted shares, is the only principal stockholder with direct ownership of 2,540,108,000 common shares or 67.74 percent. HOME credited its public stockholders with 1,209,891,500 common shares, or 32.26 percent. It was the top stockholder but less HOME common shares in HOME’s definitive information statement (DIS). As “record owner” that “is also the beneficial owner,” it owned 1,083,858,500 common shares or 28.90 percent of outstanding.
As of April 30, 2020, AllValue Holdings was “record owner and beneficial owner” of 1,083,858,500 common shares or 28.90 percent of 3,750,000,002 outstanding common shares, according to HOME’s general information sheet (GIS).
HOME listed PCD Nominee as record owner for Filipinos of 2,162,969,200 common shares, or 18.85 percent, which a computation resulted in 57.679 percent of 3,750,000,002 outstanding common shares and 502,980,200 common shares or 13.41 percent, according to the GIS.
As an indirect stockholder, Manuel B. Villar Jr. held 2,540,108,000 common shares or 67.74 percent, according to AllHome’s GIS.
The GIS explained: “Based on the total issued and outstanding capital stock as of April 30, 2020 of 3,750,000,002 common shares, Mr. Manuel B Villar Jr. and his spouse are the controlling stockholders of AllValue Holdings Corp. The right to vote the shares held by AllValue Holdings Corp. in this annual meeting is expected to be exercised by Mr. Villar….”
In its filing, Villar is named as “the father of Manuel Paolo A. Villar and Camille A. Villar. Except for said relationship, none of the aforementioned directors or executive officers is related to the others by consanguinity or affinity within the fourth civil degree.”

Benjamarie Therese N. Serrano is HOME’s president and chief executive officer. The other highest paid executives were Frances Rosalie T. Coloma, chief finance officer; Mary Lee S. Sadiasa, chief operating officer; Rubirose M. Abott, investment relation officer; and Maria Cristina O. Barao, compliance officer and controller.
As a group, ALLHome paid them salary and bonus of P23.2 million in 2019. It paid “aggregate executive compensation for all other officers and directors, as unnamed” salary and bonus of P33.4 million in 2018 and P41.1 million in 2019, which the company said it estimated their pays and perks the same in 2020.
According to its 2020 GIS, HOME paid P400,000 as the “total annual compensation of directors during the preceding fiscal year.” Apparently, the company was referring to 2019.
In the 2020 HOME GIS, AllValue Holdings was its top stockholder with 2,540,108,000 HOME common shares or 67.74 percent of 3,750,000,002 outstanding common shares. PCD Nominee was at number two as record holder for Filipinos of 800,131,955 common shares or 21.34 percent, and 409,548,745 common shares or 10.92 percent for foreigners. At number four was Jharna P. Chandani, 50,000 common shares, and at number five was Rolando A. Aralar/Myra I. Aralar/Roland I. Aralar, 45,000 common shares or 0.001 percent; and at number six was Myra P. Villanueva of PLDT-Employee Engagement and Communications, 25,000 common shares or 0.0007 percent.

As of Sept. 30, 2020, HOME’s retained earnings totaled P2.073 billion, which topped its full-year total of P1.485 billion based on an audited filing. It had current assets of P8.054 billion against current liabilities of P2.606 billion. It valued its non-assets at P12.156 billion against total non-current liabilities of P4.604 billion.
In an audited filing as of Dec. 31, 2019, HOME’s audited report listed P11.560 billion total non-current assets against total non-current liabilities of P4.804 billion.
AllHome said an unaudited financial filing as of Sept. 30, 2020 showed it having P3.750 billion as outstanding capital stock on P1 par value and P3 billion capital stock as of Sept. 30, 2019. Both were based on unaudited PSE posting. Last year, it had P7,206,598,114 additional paid-in capital (APIC).
AllHome peaked at a 30-day high of P9.50 on Jan. 12, 2021 when it opened at P9.50 (its 30-day and session high), dropped to P8.90 and closed at P9.10. It fell to a 30-day low of P7.71 on Nov. 24, 2020 when it opened at P8.30, hit a session high of P8.40 and closed at P8.30.
Will Villar return to the Senate? Just asking.
